The terms and conditions governing your use of our services.
1. Acceptance of Terms
By accessing and using the BigLogic website and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use our services.
These Terms of Service ("Terms") are governed by the laws of Canada and the applicable provincial legislation.
2. Description of Services
BigLogic ("we," "our," or "us") provides SaaS solutions, AI integration services, UX engineering, and cloud infrastructure services (the "Services"). The Services include but are not limited to:
- Custom software development
- AI and machine learning integration
- User experience design and implementation
- Cloud architecture and DevOps
- Technical consulting and strategy
3. User Obligations
As a user of our Services, you agree to:
- Provide accurate and complete information when contacting us
- Maintain the security of your account credentials
- Not use our Services for any unlawful purpose, including violations of Canadian federal or provincial laws
- Not attempt to gain unauthorized access to any part of our systems
- Not interfere with or disrupt the integrity or performance of our Services
- Comply with all applicable laws and regulations in your jurisdiction
4. Intellectual Property
Our Content: All content on this website, including text, graphics, logos, images, and software, is the property of BigLogic and is protected by Canadian and international copyright and intellectual property laws.
Your Content: You retain ownership of any content you provide to us. By submitting content, you grant us a non-exclusive, royalty-free license to use it in connection with providing our Services.
Project Deliverables: The ownership of custom-developed software and deliverables will be defined in the individual service agreement for each project. Unless otherwise specified, BigLogic retains ownership of underlying frameworks, libraries, and tools developed independently.
5. Payment Terms
For paid Services:
- Payment terms will be specified in the project proposal or service agreement
- All fees are quoted in Canadian Dollars (CAD) unless otherwise stated
- Payments are due according to the agreed schedule
- Late payments may incur interest charges at the lesser of 2% per month or the maximum rate permitted by Canadian law
- Refunds are subject to the terms outlined in the service agreement
- Applicable taxes (GST/HST/PST) will be added as required by Canadian tax legislation
6. Limitation of Liability
To the maximum extent permitted by applicable Canadian law, BigLogic shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use our Services. Our total liability shall not exceed the amount paid by you for the specific Service giving rise to the claim.
Nothing in these Terms limits or excludes liability that cannot be limited under applicable Canadian consumer protection legislation.
7. Disclaimer of Warranties
Our Services are provided "as is" and "as available" without any warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our Services will be uninterrupted, secure, or error-free.
Some provinces do not allow the exclusion of implied warranties, so the above exclusion may not apply to you.
8. Indemnification
You agree to indemnify, defend, and hold harmless BigLogic and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising out of your use of our Services or any violation of these Terms or applicable Canadian laws.
9. Termination
We may terminate or suspend your access to our Services immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use our Services will immediately cease.
Termination does not relieve either party of obligations accrued prior to the effective date of termination.
10. Dispute Resolution
In the event of any dispute arising out of or relating to these Terms or our Services, the parties agree to first attempt to resolve the dispute through good-faith negotiations.
If negotiations fail to resolve the dispute, the parties agree to submit the matter to mediation before pursuing litigation. Mediation shall be conducted in Canada in accordance with Canadian mediation rules.
Nothing in this section prevents either party from seeking injunctive relief or other equitable remedies in court.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Canada and the laws of the province in which BigLogic operates, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of the applicable Canadian province.
The parties attorn to the jurisdiction of such courts and waive any objection to proceedings in such courts.
12. Consumer Protection
Nothing in these Terms is intended to exclude, restrict, or modify any rights or remedies that a consumer may have under applicable Canadian consumer protection legislation, including but not limited to:
- Consumer Protection Act (applicable provincial legislation)
- Canadian Consumer Product Safety Act
- Competition Act
If you are a consumer, certain provisions in these Terms may not apply to the extent they conflict with mandatory consumer protection laws.
13. Language
These Terms are drafted and executed in the English language. In the event of any conflict between the English version and any translation, the English version shall prevail.

14. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new terms on this page and updating the "last updated" date. Your continued use of our Services after any changes constitutes acceptance of the new terms.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
